DRAFT FOR COUNSEL. Version 0.1, 4 October 2026. Not in force, not legal advice. Every clause is a proposal for Decosa's lawyer. Items in [square brackets] are open; the questions for counsel are listed at the end of the source draft and are not published.

Summary (not part of the agreement)

  • You buy a licence once. It's yours to keep: every version released during your updates period works forever.
  • Standard: 1 Mac; your own shows, including paid gigs where you are the booked artist. Pro: 2 Macs, plus work for clients and commercial use; Everdust Plugin is included.
  • Updates for 12 months are included. Renewing is optional and one-time ($49 Standard, $79 Pro, $19 Plugin), never automatic.
  • The free trial is the whole app with a watermark.
  • Don't share your key, crack the app, or lift out the third-party parts (NDI®, Syphon, the plugin SDKs).
  • Refunds within 14 days of purchase. A refunded or charged-back licence stops activating.

1. The agreement

1.1 Parties. This End-User Licence Agreement (the "Agreement") is between you and Decosa, Inc. ("Decosa", "we", "us"), [a Delaware corporation], the maker of Everdust. If you accept it for a company or other organisation, "you" means that organisation, and you confirm you may bind it.

1.2 What it covers. This Agreement covers: (a) Everdust Live, the Mac application for live visual performance, its scenes, shaders, presets, documentation and every update we provide for it ("Live"); (b) Everdust Plugin, the Audio Unit, VST® 3 and CLAP plug-ins and the Everdust Plugin companion application, their scenes and updates ("Plugin"; Section 12 has the terms specific to it); and (c) licence keys and activation tokens for them. Live and Plugin are each the "Software".

1.3 Acceptance. You accept this Agreement by ticking the box at checkout, or by installing, activating or using the Software. If you don't accept it, don't install or use the Software. If you bought a licence and don't accept this Agreement, you can have a refund under Section 10.

1.4 Other terms. Our Privacy Policy explains what the Software and everdust.ai collect. Creator credits (Section 9) are also subject to the Everdust Creator terms. If this Agreement conflicts with those terms about the Software, this Agreement wins.

2. Licence grant

2.1 Licence. Subject to this Agreement and to payment, Decosa grants you a perpetual, non-exclusive, non-transferable (except under Section 2.6), non-sublicensable licence to install and use the Software, in object-code form, on the number of Macs your tier allows (Section 3), for the uses your tier allows (Sections 2.3 and 2.4).

A "founders" licence (the first 200 Live licences, sold at a lower price) is a Standard or Pro licence with exactly the rights of its tier.

2.3 Standard: your own performances. A Standard licence lets you use Live, and the visuals it generates (the "Output"), for: (a) private use, rehearsal, practice and teaching yourself; (b) public performance at your own gigs: shows where you (or your act) are the booked or performing artist or VJ, including paid gigs, festival slots, club nights and your own events; and (c) recording, photographing and live-streaming those performances, and posting those recordings, including on monetised channels of your own.

2.4 Pro: client and commercial work. A Pro licence adds the right to use Live and the Output: (a) for Client Work: work you do for, or are paid by, someone else to supply visuals or visual systems, including venues and promoters (as house visuals), tours and artists other than yourself, brands, agencies, corporate and private events, theatre and installations; and (b) for Commercial Use: advertising, sponsored or branded content, broadcast, and any use of the Output to promote a product or service other than your own performances; and to run Live on a second Mac at the same time (for example a show machine and a spare). If you are unsure whether a use needs Pro, write to hello@everdust.ai before the show; we'll answer in writing.

2.5 Ownership. The Software, its scenes, code, art and documentation are licensed, not sold. Decosa and its licensors keep all rights not expressly granted. Between you and Decosa, you own your own inputs (show files, cue lists, mappings, recordings of your performances), and you may use the Output as your tier allows. You may not sell, license or distribute the Output as stock footage, loops, templates or a visuals pack, or use it to make a product that competes with the Software or with Everdust Loops.

2.6 Transfer. [You may transfer a licence once, to one other person or organisation, by writing to hello@everdust.ai: we deactivate your Macs, re-issue the key to the new owner, and this Agreement then binds them. The founders' price and any unspent creator credits don't transfer.] Otherwise you may not sell, rent, lend, lease or sublicense the Software or your key.

3. Licence keys and activation

3.1 Keys. Your licence is a licence key we email you (and show on your order page). The key is the proof of your licence: keep it private. Sharing it, publishing it or giving it to anyone else breaches this Agreement, and we may disable an abused key (Section 13).

3.2 Activation. The Software checks the key on your Mac, offline. To keep running licensed, each Mac must be activated once with our server (or with offline activation on everdust.ai/live/activate). A key works without activation for up to 14 days from first use on a Mac and no later than 30 days after the key was issued; after that, an unactivated copy runs as the trial (Section 8) until it is activated. Activating the same Mac again (after reinstalling, for example) is free.

3.3 Number of Macs. You may have as many Macs activated at a time as your tier allows (Section 2.2). To move a licence to another Mac, deactivate one in the Software or at everdust.ai/licence first. You may make up to 5 such moves in any 12 months; if you need more (a stolen or broken Mac), write to us.

3.4 What activation sends. Activation sends your licence key, a machine identifier (a one-way hash of your Mac's hardware identifier, salted so it can't be matched to other apps), the Mac's name if you choose to send it, and the app version. We keep these to count your Macs and show them to you. Nothing about your performances, audio or show files is sent.

3.5 Refunds and disputes. If a payment for a licence is refunded or charged back, the licence is revoked: it no longer activates, and the Software may also stop accepting it once it learns of the revocation.

4. Updates and renewal

4.1 Included updates. Each licence includes the updates we release during the 12 months after purchase (the "updates period"), including new scenes we add to the Software.

4.2 Keep what you have. Every version released on or before the last day of your updates period stays licensed forever. A version released after it runs as the trial until you renew; you can keep using, or reinstall, an older version.

4.3 Renewal. You may renew for another 12 months of updates at any time for a one-time payment (currently $49 Standard, $79 Pro, $19 Plugin). A renewal extends your updates period by 12 months from the later of its current end and the day you renew. Renewal is never automatic, and it is not a subscription.

4.4 Upgrades. Within 12 months of buying Live Standard, you may upgrade it to Pro for the difference between the prices you would pay for them (currently $150, or $100 for founders). An upgrade keeps your updates period and your licence id. [Creator credits are granted once per licence (Section 9); an upgrade doesn't add the 20 credit difference.]

4.5 No obligation. Decosa may, but doesn't have to, provide updates, support or particular features, and may change or remove features in an update. If a paid update removes a feature you relied on, you may keep using the version you have.

5. Restrictions

Except as this Agreement or applicable law expressly allows, you must not, and must not help anyone else to: (a) copy the Software except to install it on the Macs you're licensed for and to make one backup; (b) modify, translate or create derivative works of the Software, or extract its scenes, shaders or art for use elsewhere; (c) reverse engineer, decompile or disassemble the Software, except to the extent applicable law permits despite this limitation; (d) remove, disable or work around the licence check, activation, watermark or any other technical limit, or use a key, token or tool not issued by Decosa; (e) remove or alter any copyright, trademark or other notice in the Software; (f) rent, lease, lend, sell, sublicense or distribute the Software or your key, or run the Software as a service for others to use remotely; or (g) use the Software in breach of law, or to infringe anyone's rights (including in the music you play with it).

6. Third-party technology and notices

6.1 Third-party components. The Software includes components owned by third parties. Their licences, copyright notices and disclaimers are shown in the Software (Everdust Live › Acknowledgements; Everdust Plugin › About) and are listed in Annex A. Where a component's own licence (such as an open-source licence) gives you rights that this Agreement doesn't, that licence governs that component.

6.2 Syphon. Live includes the Syphon framework, Copyright 2010 bangnoise (Tom Butterworth) & vade (Anton Marini), used under its BSD licence, reproduced in Annex A. Syphon is provided by its authors "as is"; the Syphon Project and its contributors don't endorse Everdust.

6.3 NDI® Technology.

6.3.1 Third-party component. Everdust Live includes the NDI® runtime library and related technology (the "NDI Technology") licensed to Decosa, Inc. by Vizrt NDI AB ("NDI"). The NDI Technology is not owned by Decosa. NDI® is a registered trademark of Vizrt NDI AB. Everdust Live is not a product of NDI, and NDI does not sponsor or endorse it.

6.3.2 Restrictions. In addition to the other restrictions in this Agreement, you must not, and must not allow or help anyone else to: (a) modify, adapt, translate or create derivative works of the NDI Technology or any part of it; (b) reverse engineer, decompile, disassemble or recompile the NDI Technology or any part of it, or any protocol used by it, whether transmitted or received over a network or used internally or externally to the machine (physical or virtual) it runs on, or attempt to do any of these things, except only to the extent that applicable law expressly permits it despite this limitation; (c) circumvent, disable or work around any technical limitation of the NDI Technology; (d) remove, obscure or alter any copyright, trademark or other proprietary notice or label contained in or on the NDI Technology; or (e) separate the NDI Technology from Everdust Live, or use, copy or distribute it except as part of Everdust Live.

6.3.3 Ownership and notices. The NDI Technology is © Vizrt NDI AB and its licensors. All rights in it not expressly granted are reserved by NDI and its licensors. The NDI copyright notices and the third-party licences of the NDI library are shown in Everdust Live under Everdust Live › Acknowledgements and are part of this Agreement's notices.

6.3.4 No warranty from NDI. THE NDI TECHNOLOGY IS PROVIDED "AS IS" AND "WITH ALL FAULTS". NDI AND EACH OF ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT AND NON-INFRINGEMENT. NDI AND ITS LICENSORS GIVE YOU NO SUPPORT.

6.3.5 No liability of NDI. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER NDI NOR ANY OF ITS SUPPLIERS OR LICENSORS WILL BE LIABLE TO YOU FOR ANY DAMAGES OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL (INCLUDING LOSS OF PROFITS, REVENUE, DATA OR BUSINESS), ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, EVERDUST LIVE OR THE NDI TECHNOLOGY, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3.6 Export. You must comply with all applicable export control and trade sanctions laws, including the laws and regulations of the United States, and must not export or re-export Everdust Live or the NDI Technology, directly or indirectly, to any country, organisation or person in violation of them.

6.3.7 Developers. If you use Everdust Live (including its OSC or other interfaces) to develop a product of your own that uses the NDI Technology, you must obtain and comply with your own NDI SDK licence from NDI, keep your product compatible with current NDI products, and include in your own end-user licence terms equivalent to this Section.

6.3.8 Third-party beneficiary. NDI and its licensors are intended third-party beneficiaries of this Section 6.3 and may enforce it directly.

6.4 Plug-in SDKs. Everdust Plugin is built with the Steinberg VST® 3 SDK and the CLAP SDK, both under the MIT licence (Annex A). VST is a registered trademark of Steinberg Media Technologies GmbH. Audio Unit and macOS are trademarks of Apple Inc. Steinberg, Apple and the CLAP project don't sponsor or endorse Everdust.

6.5 Third-party software you connect. The Software can send video to, or take audio, MIDI, OSC or timecode from, software and hardware made by others. Their terms govern them, and Decosa isn't responsible for them.

7. The Output and your content

7.1 Music and other content. You are responsible for having the rights to the music and any other material you perform with, record or publish alongside the Output. The Software analyses audio on your Mac only; it doesn't record or send it.

7.2 Credit. Credit ("Visuals: Everdust") is welcome but not required.

7.3 Photosensitivity. Some scenes and controls (such as beat flash, strobe-like transitions and blackout) produce rapid changes of light. You are responsible for using them safely in front of an audience, including any warnings a venue or the law requires.

8. The trial

Without a valid, activated licence, the Software runs as a trial: every feature works, and the Output carries a visible watermark ("Everdust Live · Trial"; for Plugin exports, "Made with Everdust · Trial"). You may use the trial to evaluate the Software, for as long as you like and without an account. You may not remove, hide or crop out the watermark, or use trial Output for Client Work or Commercial Use. Sections 5, 6 and 13 to 18 apply to the trial; the trial is provided as is, with no warranty of any kind, and Decosa's total liability for it is zero to the extent the law allows.

9. Creator credits

9.1 What they are. Each Live licence includes creator credits (10 Standard, 30 Pro) for the Everdust Creator at create.decosa.ai, which designs new scenes from a description. Credits are redeemed from within Live, once per licence, after its first activation.

9.2 Rules. Credits: (a) are granted once per licence (re-activating, adding a Mac, reinstalling, renewing or upgrading doesn't grant them again); (b) have no cash value, can't be exchanged, sold or transferred, and are used only in the Everdust Creator; (c) [expire 24 months after they are granted / don't expire]; and (d) are subject to the Everdust Creator terms, including its content rules.

9.3 Refunds. If a licence is refunded or charged back, its unspent credits are removed.

9.4 Your creations. Scenes you design with the Creator are covered by the Everdust Creator terms. When played in Live, their Output is Output under this Agreement.

10. Refunds

You may ask for a full refund within 14 days of purchase (of a licence, renewal or upgrade) by replying to your receipt or writing to hello@everdust.ai, for any reason. After 14 days, we refund only where the law requires it or the Software doesn't work materially as described and we can't fix it. A refunded licence is revoked (Section 3.5). A refunded renewal or upgrade returns your licence to its terms before that purchase. Nothing in this Section limits rights you have under consumer law.

11. Purchases, prices and taxes

Prices are shown in US dollars on everdust.ai and are one-time payments. Payments are processed by our payment provider. [Licences are currently sold to US billing addresses only; an order from elsewhere is refunded.] Sales tax is added where it applies. We may change prices for future purchases; a change doesn't affect licences already bought.

12. Everdust Plugin

12.1 Grant. A Plugin licence lets you install and use Everdust Plugin, in every format we supply (Audio Unit, VST® 3, CLAP) and its companion app, on up to 2 Macs activated at a time, under Sections 3 to 18 as they apply to Live.

12.2 Renders. You may use the videos you render with Plugin ("Renders") for any lawful purpose, personal or commercial, including on monetised channels, in client work and in advertising, provided you have the rights to the music and other material in them (Section 7.1). You may not sell or distribute Renders as stock footage, loops or a visuals pack, or use them to train or build a product that competes with the Software.

12.3 The tag and the watermark. Licensed Renders may end with a short "made with Everdust" tag, which you may turn off. Trial Renders carry a watermark you may not remove (Section 8).

12.4 In your DAW. Plugin passes your audio through unchanged. You're responsible for your projects and for keeping backups; Decosa isn't liable for lost sessions or Renders (Section 15).

12.5 Included with Live Pro. An activated Live Pro licence on a Mac also licenses Plugin on that Mac, for as long as the Live Pro licence is valid. It doesn't add a separate Plugin licence, and it ends if the Live Pro licence is revoked.

12.6 Retail keys. Plugin keys bought from an authorised reseller are licences under this Agreement. Keys from anyone else may be revoked.

12.7 Trademarks. VST is a registered trademark of Steinberg Media Technologies GmbH. Audio Unit is a trademark of Apple Inc.

13. Termination

This Agreement lasts until it ends. It ends automatically if you materially breach it (for example by sharing your key or circumventing activation) and don't cure the breach within 14 days of notice, or at once for a breach of Section 5(d) or 6.3. When it ends you must stop using and delete the Software; we may revoke your key. Sections 2.5, 5, 6, 7, 13 to 18 and Annex A survive.

14. Warranty

14.1 Limited warranty. For 30 days after purchase, Decosa warrants that the Software will work materially as described on everdust.ai on a Mac that meets the published system requirements. Your remedy for a breach is that we fix it or, if we can't, refund what you paid.

14.2 Disclaimer. EXCEPT AS SECTION 14.1 SAYS, AND TO THE FULLEST EXTENT THE LAW ALLOWS, THE SOFTWARE IS PROVIDED "AS IS", AND DECOSA AND ITS LICENSORS DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. LIVE PERFORMANCE IS UNFORGIVING: TEST YOUR SETUP BEFORE EVERY SHOW AND KEEP A BACKUP.

15. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS: (a) DECOSA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, FEES, BOOKINGS, DATA OR GOODWILL, OR FOR A CANCELLED, INTERRUPTED OR DEGRADED PERFORMANCE OR EVENT, HOWEVER CAUSED; AND (b) DECOSA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENCE CONCERNED IN THE 12 MONTHS BEFORE THE CLAIM. Section 6.3.5 applies to NDI and its licensors in addition to this Section. Some jurisdictions don't allow some of these limits; in them, the limits apply only as far as the law allows.

16. Consumer rights

If you are a consumer, you may have rights under the law of where you live that can't be excluded or limited by contract. Nothing in this Agreement affects them.

17. Export and government users

17.1 Export. You must comply with all export control and sanctions laws that apply to the Software, including those of the United States. You confirm you aren't in a country subject to a US embargo and aren't on a US government list of prohibited or restricted parties.

17.2 US government users. The Software is "commercial computer software" and its documentation "commercial computer software documentation" under FAR 12.212 and DFARS 227.7202; US government users get only the rights this Agreement gives everyone else.

18. General

18.1 Governing law. This Agreement is governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. Courts in California have exclusive jurisdiction, except where the law of your country gives you the right to bring a claim where you live. [Arbitration and class-action waiver: counsel to decide.]

18.2 Changes. We may update this Agreement for future versions of the Software. A change applies to you only when you accept it (for example on installing an update that shows it); otherwise the version you accepted keeps applying to the versions you have.

18.3 Entire agreement. This Agreement (with the documents it names) is the whole agreement about the Software and replaces earlier ones. If a provision is unenforceable, the rest stays in force. Our not enforcing a provision isn't a waiver. You may not assign this Agreement except under Section 2.6; we may assign it to a successor to the Software business.
